GTCO Raises ₦10 Billion

GTCO’s General Counsel, Erhi Obebeduo, confirmed that the capital increase does not respond to shortfalls.

In fact, Guaranty Trust Bank Limited already exceeds the CBN’s minimum capital requirement for international banks.

Strong Banking Foundation

By August 2025, the bank’s capital base reached ₦504 billion, comfortably surpassing regulatory thresholds.

Therefore, the private placement follows Section 7.1 of Nigeria’s Financial Holding Company regulations.

Previously, shareholders authorised the Board in May 2024 to raise up to $750 million.

This authorisation allowed the Board to issue ordinary shares, bonds, or other instruments via public or private offerings.

Financial Performance And Growth

Now, GTCO will issue 125 million ordinary shares at ₦80 each, targeting ₦10 billion in proceeds.

The company will close the offering on December 31, 2025, and advisers will actively secure buyers.

GTCO’s Board, including Chairman A. Oyinlola and CEO K. Agbaje, guides the company’s strategy.

During the nine months ending September 2025, the Group generated ₦900.8 billion profit before tax.

Interest income grew 25.6% and fee income increased 16.8%, strengthening core earnings.

Meanwhile, total assets reached ₦16.7 trillion, shareholders’ funds rose to ₦3.3 trillion, and CAR remained 36.5%.

Furthermore, Stage 3 loans and cost of risk declined, reflecting improved asset quality and risk management.

Net loans grew 16.5% to ₦3.24 trillion, while deposits increased 16% to ₦12.06 trillion.

Overall, GTCO raises this capital strategically to maintain flexibility while preparing for future growth.
